Terms and Conditions of Business

1. Definitions

 

2Manage is the training provider. Client means the organisation booking and/or paying for the services. Delegate means a person attending the training course or seminar.

 

2. General

 

These Terms and Conditions shall apply to the supply of training to the client and shall supersede any other documentation or communication between parties.

 

Any variation to these Terms and Conditions must be agreed in writing by 2Manage.

 

Nothing in these Terms and Conditions shall prejudice any condition or warranty, express or implied, or any legal remedy to which 2Manage may be entitled concerning the training under any statute, law or regulation.

 

3. Bookings

 

Bookings must be made using the advertised booking arrangements. 

 

The number of delegates must be given at the time of the booking. This number cannot be increased by the client without the approval of 2Manage. Only delegates named on the booking are allowed to attend the training.

 

Upon submitting a booking for a place or places on a training course, you will be given confirmation of 2Manage acceptance of your order (a 'booking confirmation').

 

Places on any course must not be given or sold to any other organisation without the written agreement of 2Manage.

 

A booking confirmation or attendance at the training course (where the booking confirmation has not been received before the training course) creates a legally binding contract based on these Terms and Conditions between 2Manage and the client.

 

4. Cancellation

 

All confirmed bookings the client cancels before 14 days of the course commencement will receive a full refund, less a 10% cancellation fee to cover administration costs. No refund is available if there are less than 14 days before the commencement of the course.

 

Wherever possible, 2Manage will contact you in advance to tell you that 2Manage will be cancelling a training course.

 

2Manage reserves the right to cancel or postpone a training course if there are insufficient delegate numbers to ensure a high quality training experience or if a trainer is ill.

 

If 2Manage cancels or postpones a training course, 2Manage will offer you a place on the next available training course. Alternatively, you may ask for a refund.

 

5. Money Back Guarantee

 

A money back guarantee is offered on a pro-rata basis per delegate if, after investigation, a delegate feels that the training did not meet the initial aims and objectives. The decision of 2Manage is final in terms of whether any fees are payable and, if so, the amount. 

 

6. Digital Training

 

Training is provided using Zoom Workplace.

 

In advance of the training course, both parties will make the best endeavours to ensure that the agreed platform is accessible and capable of delivering/receiving the service to an acceptable standard.

 

Neither party shall be liable for fault or failure of the agreed platform that may occur during the delivery of the course, should it be deemed outside of their control.

 

7. Conduct of Delegates

 

Delegates must conduct themselves considerately when attending the training course.

 

2Manage reserves the right to remove a delegate during a training course if it deems that the conduct of the delegate(s) is inappropriate.

 

8. Confidentiality

 

2Manage and delegates will keep secure and not disclose any information of a confidential nature obtained by reason of the training received except information which is already in the public domain. The provisions of this section shall apply during the continuance of these Terms and Conditions and indefinitely thereafter. 

 

2Manage shall keep secret and confidential all information relating to the business or affairs of the Client, the Client’s subsidiaries and the Client’s customers.

 

A Data Protection Policy is separate from these Terms and Conditions and a copy can be forwarded by emailing info@2manage.org.

 

9. Data Protection 

 

2Manage collects your personal data only for explicit and legitimate purposes that are clear upfront. We may not process the data in any manner that is incompatible with these purposes.

 

If the purposes for data collection and processing change, then we will inform you of these new purposes, and if necessary, we must gain your renewed consent.

 

For quality improvement purposes, the training sessions will be recorded.

10. Copyright

 

2Manage retains its intellectual property rights in all its materials, documents and/or software, none of which may be reproduced, modified, amended, stored in any retrieval system or transmitted, in any form or by any means, otherwise than for the purpose specified by 2Manage. The material provided on a training course remains with 2Manage and may not be used by the client, delegate or other party. If 2Manage becomes aware of such use, then legal action may be taken to stop such activity and seek compensation.

 

11. Variation

 

No variation of these terms will be valid unless evidenced in writing and signed by 2Manage.

 

12. Relationship of Parties

 

Nothing in this Agreement shall be construed as establishing or implying a partnership or joint venture between the parties or suggesting that either of the parties are agents for the other.

 

13. Entire Agreement 

 

These Terms and Conditions supersede any previous agreements, arrangements, documents or other undertakings either written or oral.

 

14. Force Majeure

 

The provision of training may be totally or partially suspended by 2Manage to the extent that delivery is prevented through any circumstances beyond its control.

 

15. Queries

 

If a court finds part of these Terms and Conditions illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

 

Even if 2Manage delays in enforcing any of these Terms and Conditions, 2Manage can still enforce them later. If 2Manage does not insist immediately that you do anything you are required to do under these terms, or if 2Manage delays in taking steps against you in respect of your breaking these Terms and Conditions, that will not mean that you do not have to do those things and it will not prevent 2Manage taking steps against you at a later date. 

16. Governing Law

 

These Terms and Conditions plus any dispute or claim arising out of or in connection with them or their subject matter or formation of these Terms and Conditions (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales, or Scotland, as appropriate.

 

2Manage and the client both irrevocably agree that the courts of England and Wales, or Scotland, as appropriate, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions or its subject matter or formation (including any other disputes or claims).

 

17. Disclaimer

2Manage is not a law firm and cannot provide legal advice on any training course it provides. If a delegate feels that a matter they are managing may result in legal action, the delegate should urgently seek a professional legal opinion.
